KYRO PROPRIETARY SOFTWARE LICENSE AGREEMENT

Copyright © 2026 Vectorsource AI, Inc. All rights reserved.

This Kyro Proprietary Software License Agreement (“Agreement”) is a legally
binding agreement between Vectorsource AI, Inc., doing business as
VectorSource AI (“VectorSource AI,” “we,” “us,” or “our”), and the individual
or legal entity that downloads, installs, accesses, or uses the Software
(“you,” “your,” or “Customer”).

By downloading, installing, accessing, or using the Software, you acknowledge
that you have read, understood, and agree to be bound by this Agreement.

If you use the Software on behalf of a company or other organization, you
represent that you have authority to bind that organization to this Agreement.
If you do not agree to this Agreement or do not have the required authority,
you must not download, install, access, or use the Software.

1. DEFINITIONS

“Authorized User” means an individual authorized by Customer and VectorSource
AI to use the Software through an active account, subscription, evaluation,
order form, or other valid authorization.

“Customer Content” means source code, repositories, files, documents, prompts,
queries, configurations, and other content submitted to, accessed by, or
processed through the Software by or on behalf of Customer.

“Enterprise Agreement” means any master services agreement, subscription
agreement, order form, evaluation agreement, data processing agreement, or
other written agreement between VectorSource AI and Customer governing Kyro
or related services.

“Services” means the hosted, cloud, authentication, indexing, retrieval,
analysis, artificial intelligence, support, and related services with which
the Software communicates or integrates.

“Software” means the Kyro Visual Studio Code extension, including its object
code, executable code, user interface, documentation, updates, upgrades,
patches, and related materials provided by VectorSource AI.

2. LIMITED LICENSE

Subject to your continued compliance with this Agreement and any applicable
Enterprise Agreement, VectorSource AI grants you a limited, revocable,
non-exclusive, non-transferable, and non-sublicensable license to:

(a) install the object-code version of the Software on devices owned,
controlled, or managed by you or your organization; and

(b) permit Authorized Users to use the Software solely for your organization’s
internal business purposes in connection with an authorized Kyro account.

The Software is licensed, not sold. No ownership interest or source-code
rights are transferred to you.

All rights not expressly granted under this Agreement are reserved by
VectorSource AI and its licensors.

3. RESTRICTIONS

Except to the limited extent expressly permitted by applicable law that cannot
lawfully be restricted, you must not, and must not permit or assist any third
party to:

(a) copy the Software, except for copies reasonably necessary to install,
operate, update, or back up the Software for authorized use;

(b) modify, adapt, translate, alter, patch, or create derivative works based
on the Software;

(c) access, obtain, request, disclose, publish, or distribute the Software’s
source code or other non-public proprietary materials;

(d) reverse engineer, decompile, disassemble, decode, decrypt, reconstruct, or
otherwise attempt to discover or derive the Software’s source code, underlying
structure, architecture, algorithms, models, prompts, data structures,
non-public interfaces, or trade secrets;

(e) sell, resell, license, sublicense, rent, lease, lend, assign, distribute,
publish, transmit, transfer, host, timeshare, or otherwise make the Software
available to any unauthorized person or entity;

(f) use the Software to provide a service bureau, managed service, hosted
service, shared service, outsourcing service, or other service for the benefit
of a third party without VectorSource AI’s prior written authorization;

(g) bypass, disable, defeat, remove, interfere with, or circumvent any
authentication, authorization, license enforcement, access control, security
protection, usage restriction, seat limit, rate limit, or technical measure;

(h) share, sell, publicly disclose, or transfer account credentials, access
tokens, license keys, or other authentication information;

(i) remove, obscure, modify, or misrepresent any copyright, trademark,
attribution, proprietary-rights, confidentiality, or legal notice contained
in or accompanying the Software;

(j) use automated tools, scraping, crawling, bulk extraction, or similar
methods to systematically reproduce, collect, or extract non-public portions
of the Software or Services, except through an expressly authorized API;

(k) probe, scan, penetrate, or test the security of the Software or Services
without VectorSource AI’s prior written authorization, except under an
authorized vulnerability-disclosure or security-testing program;

(l) introduce malware, malicious code, destructive payloads, or other material
intended to disrupt, damage, compromise, or gain unauthorized access to the
Software, Services, or third-party systems;

(m) use the Software in violation of applicable law, regulation, sanctions,
export controls, contractual obligations, confidentiality obligations, or
third-party rights;

(n) use unauthorized access to the Software, its non-public components, or
VectorSource AI Confidential Information to reproduce the Software or build a
competing product or service; or

(o) encourage, assist, enable, or permit any person to engage in conduct
prohibited by this Agreement.

4. ACCOUNTS AND AUTHORIZED USE

You are responsible for maintaining the confidentiality and security of your
accounts, credentials, access tokens, and license information.

You are responsible for all activity conducted through your accounts by your
Authorized Users and for ensuring that Authorized Users comply with this
Agreement.

You must promptly notify VectorSource AI if you become aware of unauthorized
access, suspected credential compromise, or misuse of the Software.

VectorSource AI may suspend or restrict access if it reasonably believes an
account has been compromised, used without authorization, used in violation
of this Agreement, or creates a security, legal, or operational risk.

5. OWNERSHIP AND INTELLECTUAL PROPERTY

VectorSource AI and its licensors retain all right, title, and interest in and
to:

(a) the Software and Services;

(b) all source code, object code, architecture, designs, interfaces,
algorithms, workflows, models, prompts, methods, documentation, technology,
and trade secrets used to provide the Software or Services;

(c) all updates, improvements, modifications, and derivative works created by
or for VectorSource AI; and

(d) all associated copyrights, trademarks, patents, trade secrets, and other
intellectual-property and proprietary rights.

Publication or distribution of the compiled Software through a marketplace
does not make the Software open source, place it in the public domain, or
waive any intellectual-property or proprietary rights.

“Kyro,” “VectorSource AI,” and associated names, logos, and branding are
proprietary marks of VectorSource AI. No trademark or branding license is
granted under this Agreement.

6. CUSTOMER CONTENT

As between Customer and VectorSource AI, Customer retains ownership of
Customer Content.

Customer grants VectorSource AI and its authorized service providers a
limited right to host, copy, transmit, process, index, retrieve, analyze, and
display Customer Content only as reasonably necessary to:

(a) provide, operate, secure, maintain, and support the Software and Services;

(b) perform Customer’s authorized requests;

(c) prevent fraud, misuse, security threats, and service abuse; and

(d) comply with applicable legal obligations.

Customer represents that it has all rights, permissions, and lawful authority
necessary to provide Customer Content and authorize its processing.

Processing of personal data may also be governed by an applicable privacy
notice, data processing agreement, or Enterprise Agreement.

7. CONFIDENTIAL AND PROPRIETARY INFORMATION

Non-public source code, technical information, architecture, security
information, credentials, pricing, product plans, documentation, and other
non-public materials provided by VectorSource AI constitute confidential and
proprietary information.

You must protect such information using reasonable care and may use it only
as necessary for authorized use of the Software.

You may not disclose VectorSource AI confidential or proprietary information
to any third party except to Authorized Users who have a legitimate need to
know and are subject to confidentiality obligations.

8. FEEDBACK

You are not required to provide feedback.

If you voluntarily provide suggestions, ideas, recommendations, corrections,
or other feedback relating to the Software or Services, you grant
VectorSource AI a worldwide, perpetual, irrevocable, transferable,
sublicensable, royalty-free right to use, reproduce, modify, distribute,
commercialize, and incorporate that feedback into its products and services.

This section does not transfer ownership of Customer Content.

9. THIRD-PARTY COMPONENTS

The Software may contain or interact with third-party software, services,
libraries, or open-source components.

Third-party components may be governed by separate license terms and notices.
To the extent a third-party license expressly applies to a component and
conflicts with this Agreement, the third-party license controls solely with
respect to that component.

Nothing in this Agreement limits rights granted under an applicable
open-source license.

10. UPDATES AND CHANGES

VectorSource AI may provide updates, upgrades, patches, hotfixes, replacement
versions, or feature changes.

Updates may be installed automatically through Visual Studio Code or an
applicable marketplace according to your platform settings.

Unless accompanied by separate terms, updates are part of the Software and
are governed by this Agreement.

VectorSource AI may modify, suspend, replace, or discontinue features or
compatibility, subject to any contrary commitment in an applicable Enterprise
Agreement.

11. ARTIFICIAL INTELLIGENCE AND OUTPUTS

The Software may provide search results, summaries, explanations,
recommendations, code suggestions, vulnerability findings, generated content,
or other automated outputs (“Outputs”).

Outputs may be incomplete, inaccurate, outdated, insecure, non-unique, or
unsuitable for your intended use.

You are responsible for independently reviewing, testing, validating,
securing, licensing, and approving Outputs before relying on, executing,
deploying, distributing, or incorporating them into software or business
decisions.

VectorSource AI does not warrant that the Software or Outputs will identify
every relevant file, defect, vulnerability, dependency, license issue,
security issue, or compliance issue.

The Software and Outputs do not replace professional judgment, code review,
security testing, compliance review, or appropriate human oversight.

12. SUSPENSION AND TERMINATION

This Agreement begins when you first download, install, access, or use the
Software and continues until terminated.

VectorSource AI may suspend or terminate your license or access if:

(a) you violate this Agreement or an applicable Enterprise Agreement;

(b) your account, subscription, evaluation, or authorization expires or is
terminated;

(c) your use creates a security, legal, operational, or financial risk;

(d) suspension or termination is required by law or a third-party provider; or

(e) you fail to pay applicable fees.

Upon termination or expiration, you must immediately stop using and uninstall
the Software and delete copies under your control, except copies retained
automatically in routine backups or as required by law.

Termination does not limit any other rights or remedies available to
VectorSource AI.

Sections concerning restrictions, ownership, confidentiality, feedback,
warranties, liability, indemnification, and general terms survive termination.

13. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT FOR EXPRESS
WARRANTIES CONTAINED IN AN APPLICABLE ENTERPRISE AGREEMENT, THE SOFTWARE,
SERVICES, DOCUMENTATION, AND OUTPUTS ARE PROVIDED “AS IS,” “AS AVAILABLE,”
AND “WITH ALL FAULTS.”

VECTORSOURCE AI AND ITS LICENSORS DISCLAIM ALL EXPRESS, IMPLIED, STATUTORY,
AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, RELIABILITY,
AVAILABILITY, QUIET ENJOYMENT, DATA INTEGRITY, AND RESULTS.

VECTORSOURCE AI DOES NOT WARRANT THAT THE SOFTWARE OR SERVICES WILL BE
UNINTERRUPTED, ERROR-FREE, SECURE, COMPATIBLE WITH EVERY SYSTEM, OR FREE FROM
HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.

YOU ARE RESPONSIBLE FOR MAINTAINING APPROPRIATE BACKUPS, ACCESS CONTROLS,
SECURITY REVIEWS, TESTING, AND HUMAN OVERSIGHT.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT AS EXPRESSLY
PROVIDED IN AN APPLICABLE ENTERPRISE AGREEMENT:

(a) VECTORSOURCE AI AND ITS AFFILIATES, LICENSORS, SUPPLIERS, OFFICERS,
DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;

(b) VECTORSOURCE AI WILL NOT BE LIABLE FOR LOSS OF PROFITS, REVENUE, BUSINESS,
GOODWILL, ANTICIPATED SAVINGS, DATA, CUSTOMER CONTENT, OR BUSINESS
OPPORTUNITY; BUSINESS INTERRUPTION; COSTS OF SUBSTITUTE SERVICES; OR DAMAGES
ARISING FROM RELIANCE ON OUTPUTS; AND

(c) THE TOTAL AGGREGATE LIABILITY OF VECTORSOURCE AI AND THE RELATED PARTIES
ARISING OUT OF OR RELATING TO THE SOFTWARE, SERVICES, OR THIS AGREEMENT WILL
NOT EXCEED THE GREATER OF:

    (i) THE AMOUNT ACTUALLY PAID BY CUSTOMER TO VECTORSOURCE AI FOR THE
    SOFTWARE AND SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING
    RISE TO THE CLAIM; OR

    (ii) ONE HUNDRED U.S. DOLLARS (US $100).

THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY, EVEN IF VECTORSOURCE
AI WAS ADVISED OF THE POSSIBILITY OF DAMAGES, AND EVEN IF A REMEDY FAILS OF
ITS ESSENTIAL PURPOSE.

NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY
BE EXCLUDED OR LIMITED.

15. INDEMNIFICATION

To the extent permitted by applicable law and except as otherwise provided in
an Enterprise Agreement, you will defend, indemnify, and hold harmless
VectorSource AI, its affiliates, and their officers, directors, employees,
contractors, and agents from third-party claims, damages, judgments,
liabilities, penalties, costs, and reasonable legal fees arising out of or
relating to:

(a) Customer Content;

(b) your unlawful, unauthorized, or prohibited use of the Software or
Services;

(c) your violation of this Agreement; or

(d) an allegation that Customer Content infringes, misappropriates, or
violates a third party’s rights.

VectorSource AI will provide reasonable notice of an indemnified claim and
reasonable cooperation at your expense.

You may not settle a claim in a manner that admits fault by, imposes
obligations on, restricts, or requires payment from VectorSource AI without
VectorSource AI’s prior written consent.

16. EXPORT CONTROLS AND HIGH-RISK USE

You must comply with applicable export-control, import-control, trade,
economic-sanctions, and anti-corruption laws.

You must not provide the Software to a prohibited person, entity, country,
territory, end user, or end use.

You must not use the Software in systems where failure could reasonably be
expected to result in death, serious bodily injury, substantial physical
damage, significant environmental harm, or operation of weapons, nuclear
facilities, aircraft navigation, air traffic control, emergency systems, or
life-support systems.

You must not process classified information, export-controlled technical
data, protected health information, payment-card data, or other specially
regulated information unless VectorSource AI has expressly agreed in writing
to support that data and all required agreements and safeguards are in place.

17. ENTERPRISE AGREEMENTS

If an applicable Enterprise Agreement conflicts directly with this Agreement,
the Enterprise Agreement controls to the extent of that conflict.

An order form controls commercial terms such as fees, subscription period,
authorized usage, and seat counts where expressly stated.

A data processing agreement controls solely with respect to processing of
personal data.

Customer purchase orders, procurement forms, portal terms, or similar
documents do not modify this Agreement unless expressly accepted in writing
by an authorized representative of VectorSource AI.

18. GENERAL TERMS

You may not assign, transfer, delegate, or sublicense this Agreement or any
rights under it without VectorSource AI’s prior written consent.

VectorSource AI may assign this Agreement to an affiliate or in connection
with a merger, acquisition, reorganization, financing, change of control, or
sale of assets.

The parties are independent contractors. This Agreement does not create an
agency, partnership, employment relationship, fiduciary relationship, or
joint venture.

If any provision is found invalid or unenforceable, it will be enforced to the
maximum extent permitted and modified only as necessary. The remaining
provisions will remain effective.

Failure to enforce a provision is not a waiver. A waiver must be in writing
and signed by the waiving party.

Rights and remedies under this Agreement are cumulative.

Section headings are provided for convenience only. The word “including”
means “including without limitation.”

This Agreement and any applicable Enterprise Agreement constitute the entire
agreement concerning the license to the Software and supersede prior
communications concerning that subject.

Applicable law may provide rights that cannot be waived. This Agreement
applies only to the maximum extent permitted by law.
